Thomas J. McCabe, Partner

Thomas J. McCabe has an extensive background in the securities industry. He has worked on the regulatory side of the industry as well as in private practice, earning him the reputation as a seasoned, fair, objective and pragmatic attorney. He began his career in the Enforcement Division of the New York Stock Exchange where he worked from 1977-1978. He then moved to the Market Surveillance Division of the NYSE and remained there until 1981. Mr. McCabe joined the Enforcement Division of the American Stock Exchange in 1981 where he served initially as a Senior Enforcement Attorney. He became the Director of the Amex' Enforcement Division in 1983. Mr. McCabe entered private practice and during the last 17 years has created a niche practice in the representation of broker-dealers in all aspects of SEC, NYSE, Amex and NASD inquiries, investigations, disciplinary and administrative proceedings, arbitrations and litigations. Mr. McCabe has successfully handled over 200 hearings and arbitrations. He has broadened his original practice to now include the handling of all general securities regulation and corporate matters pertaining to broker-dealers, investment advisors, hedge funds and investment partnerships. He provides ongoing regulatory and compliance counsel to the vast majority of the firm's clients.

Mr. McCabe received a J.D. degree from New York Law School, cum laude, in 1980. He received his B.A. in English from Iona College in 1973 and an M.A. in Irish Studies from University College in Dublin, Ireland in 1975. He was admitted to the New York State Bar in 1981. Mr. McCabe is admitted to practice before all New York state courts and the U.S. District Court for the Southern District.

William B. Flynn, Partner

William B. Flynn has an extensive background in the construction industry. He spent the first twenty-two years of his professional practice as an associate, and then as a named partner in a prominent New York City law firm that was particularly well regarded for its expertise in the areas of construction law and litigation. In 1999, he joined Thomas J. McCabe to form McCabe & Flynn LLP. Mr. Flynn has handled a wide variety of transactional work, as well as litigation and arbitration involving private and public construction projects in all state and federal courts, before the American Arbitration Association and in many other states. He has successfully handled numerous jury and non-jury trials, and has argued appeals in both state and federal courts. The range of matters he has handled includes contract negotiation, claims prevention and analysis, and disputes involving buildings, site work, heavy construction, renovations, mechanic's liens, surety claims, public bid disputes, delay claims, extra work claims, scope of work disputes, wrongful terminations, defective design, and defective building products. Mr. Flynn continues to represent prominent contractors, subcontractors, vendors, construction managers, owners, design professionals, sureties and developers. Mr. Flynn also has extensive experience in corporate, business planning, estate planning, real estate and general practice matters.

Mr. Flynn received his J.D. from St. John's University in 1974. He also earned his B.A. from St. John's University in Political Science in 1971. Mr. Flynn was admitted to the New York State Bar in 1975. He is admitted to practice before all New York state courts and the U.S. District Court for the Southern and Eastern Districts of New York, the U.S. Court of Appeals, 2nd Circuit, 3rd Circuit and 6th Circuit and before the U.S. Supreme Court. Mr. Flynn is an active member of the Construction and Commercial Panel of Arbitrators of the American Arbitration Association where he serves as an arbitrator adjudicating disputes in the fields of contract, corporate and construction matters.
